General Terms
The terms of service herein provided are the contract between Reconzyle, as a service
provider and you, as a customer. The service provider hereby commits to deliver services via
our platform and your corresponding obligations as a customer.
“We”, “our”, or “us” means the Reconzyle entity. On the other hand, the term “you” or
your” will refer to you, your company, or your client, or organization or company you represent.
Introduction
Thank you for choosing Reconzyle as your accounting software service provider! We
are glad to have you on board but before starting using our platform, take a look at the terms
of our services and accept it. Please read it carefully because these are your legal rights and
obligations if you will avail of our services. If you are unwilling to comply to the terms and
conditions of our service then you cannot use our platform. If there are items on this terms that
is not clear, you may contact our hotline for further assistance.
Acceptance of Terms
By creating an account or availing the Reconzyle Services, you agree to these Terms
of Service (“Terms”), which include Reconzyle’s Privacy Statement:
If you are using Reconzyle on behalf of a company or organization, you represent that
you have the authority to bind that entity and you accept these provisions on their behalf.
Subscriptions and Payment
Your subscription to Reconzyle begins upon selecting a pricing plan and completing
the registration process. Each plan includes details on subscription fees, invoicing, payment
schedules, auto-renewal, and cancellation terms. Billing may occur monthly, quarterly, or
annually, depending on your selected plan.

You may request to upgrade or downgrade your subscription by contacting our
support hotline or emailing support@reconzyle.com. Changes typically take effect within 24 hours of receiving written notice. Pricing plans may be revised from time to time, with at least thirty (30) days’ advance notice before any updates become effective.

A 30-day free trial may be available, during which no charges will apply. To retain
access to any content created or received during the trial, you must purchase a subscription
before the trial ends.

Subscriptions automatically renew at the end of each billing cycle unless canceled at
least one (1) day prior to renewal. Payments are securely processed through Stripe or CPA
Charge; Reconzyle does not store your payment card information.

To maintain uninterrupted access, all fees must be paid on time. If payment is not
received within five (5) days of the due date, your account will be suspended. If payment
remains outstanding after fifteen (15) days, Reconzyle may terminate your subscription.
Access will be restored within twenty-four (24) hours following full payment of outstanding
fees.​

Cancellations take effect at the end of the current billing period.

All fees are exclusive of applicable taxes, which you are responsible for.

Refunds are not provided if your subscription is terminated by you or due to a breach
of these Terms. No prorated refunds will be issued. Refunds are only granted if Reconzyle
fails to deliver core services and cannot resolve the issue within thirty (30) days of receiving
written notice.
User Responsibilities
You are solely responsible for ensuring that you meet all technical requirements
necessary to access and use Reconzyle, including maintaining a stable internet connection
and using compatible devices. Any charges incurred from your mobile carrier, internet
provider, or other telecommunications services are your responsibility. If you use Reconzyle’s
communication features to interact with third parties, it is your duty to obtain any necessary
permissions and to ensure that those individuals are informed of and agree to the applicable
terms of use.
Pricing and changes
Reconzyle reserves the right to modify its pricing, service features, or offerings at
any time. Users will be notified at least fifteen (15) days in advance before any changes takeeffect. Adjustments to service fees may occur if you choose to add or remove features or
services from your subscription.
Use of Services
By using Reconzyle, you agree to access and utilize the platform solely for lawful, non-
commercial business purposes. You are fully responsible for all actions taken under your
subscription account.
You must not engage in any activity that:
- Disrupts or interferes with Reconzyle’s systems, networks, or hosted environment.
- Posts, shares, or transmits content that is illegal, defamatory, invasive of privacy,
harmful, or otherwise objectionable.
- Misrepresents your identity or falsely claims affiliation with Reconzyle.
- Attempts to reverse-engineer, replicate, or distribute any part of the platform.
- Uploads malicious software, obscene material, or unlawful content.
- Accesses accounts or data that do not belong to you.
- Harasses, threatens, or disrespects Reconzyle staff, partners, or other users—
including any form of bullying directed at our support teams.
- Use of the service must comply with all applicable laws, including those related to
data protection and intellectual property.

Reconzyle reserves the right to suspend or terminate accounts that violate these
terms or fail to meet payment obligations.
Third Party Services and Products
Reconzyle may enable you to link your account with third-party services or products to
extend functionality. These external offerings are not governed by this Agreement, and
Reconzyle disclaims any responsibility or liability for their performance, content, or
representations. Your use of such third-party services is subject solely to the terms and
conditions and privacy policies established by their respective providers, which you are
required to review and accept independently.
Account Information Obtained from Third-Party
By authorizing Reconzyle to access your account information from third-party services,
you grant us permission to retrieve, use, and process that data as necessary to deliver our
services—without requiring additional notice or consent.

Please note that Reconzyle does not control the accuracy, completeness, or timeliness
of information provided by third-party sources. As such, we are not liable for any errors,
incorrect charges, delays, service disruptions, or other issues arising from the use of third-
party account data. Users assume full responsibility for verifying the reliability of connected
third-party accounts and acknowledge the risks associated with such integrations.
Ownership of Data
Connecting your Reconzyle subscription to third-party products may involve sharing
personal data as outlined in our Privacy Policy. These integrations are governed by the third-
party providers’ own terms and privacy policies, which users should review. Reconzyle is
not responsible for how third parties handle your data, and by enabling such connections, you
accept the associated risks. You may manage or revoke third-party access anytime through
your account settings.
Data Usage to Connect Third Party Products
When you connect third-party products to your subscription, your personal data will be
handled according to our privacy policy. However, these third-party products have their own terms, conditions, and privacy practices, which are outside our control. You're responsible for reviewing their policies, and we won't be liable for any issues arising from their data handling practices.
Intellectual Property
All trademarks, branding elements, visual designs, and documentation related to
Reconzyle are the exclusive intellectual property of Escochecks Inc. These assets are
protected by applicable copyright, trademark, and other intellectual property laws.

By subscribing to our services, you are granted a limited, non-exclusive, non-
transferable, and revocable license to access and use Reconzyle solely for personal or internal
business purposes during your active subscription period. This license does not grant you any
ownership rights or permission to reproduce, modify, distribute, or create derivative works from
our content or technology.
Unauthorized use of Reconzyle’s intellectual property—including reverse engineering,
resale, or replication—is strictly prohibited and may result in termination of access and legal
action.
Availability and Support
Reconzyle is committed to delivering a reliable and uninterrupted service experience,
targeting a minimum system uptime of 99.5%, excluding scheduled maintenance periods. In the event that maintenance is required, users will receive prior notification to minimize disruption and allow for planning.
Customer support is readily available to assist with any inquiries, technical issues, or
feedback. Our support team operates Monday through Friday, from 9:00 AM to 6:00 PM (Pacific
Standard Time), and can be reached via email at support@reconzyle.com.

To further enhance user experience, Reconzyle may implement automated monitoring
and alert systems to proactively detect and resolve service interruptions. Additionally, we
encourage users to consult our Help Center and FAQ resources for immediate guidance on
common issues.
Access
Access to Reconzyle’s services and your associated data is provided on an “as-is” and
“as-available” basis. While we endeavor to maintain reliable and consistent service, we do not
warrant or guarantee uninterrupted or error-free access. Service availability may be affected
by various circumstances beyond our control, including but not limited to internet outages,
system enhancements, scheduled maintenance, or unforeseen technical issues.
We will make reasonable efforts to restore access promptly and minimize disruption. However,
by using our services, you acknowledge and accept that temporary interruptions may occur,
and Reconzyle shall not be held liable for any delays, data inaccessibility, or service limitations
resulting from such events.
Data Loss
You are solely responsible for maintaining copies of all data, content, and information entered into our platform. We recommend that you regularly back up your data to prevent loss. Reconzyle will not be liable for any data loss or corruption, except as explicitly stated in Section 12 of these terms. You acknowledge that it is your responsibility to ensure the integrity and availability of your data.
Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Reconzyle be liable
for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or
revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other
intangible losses, resulting from;

- your use or inability to use the software;
- any unauthorized access to or use of our servers and/or any personal information
stored therein;
- any interruption cessation of transmission to or from our services;
- any bugs, viruses, trojan horses, or the like that may be transmitted to or through our
services by any third party;
- any errors or omissions in any content or for any loss or damage of any kind incurred
as a result of your use of any content posted, emailed, transmitted, or otherwise made
available via the software, whether based on warranty contract, tort (including
negligence), or any other legal theory, and whether or not Reconzyle is advised of the possibility of such damages. In any event, the aggregate liability of Reconzyle for all
claims relating to this software shall not exceed the amount you paid for for the software in the twelve (12) months prior to the event giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Reconzyle, its affiliates, officers,
directors, employees, and agents from and against from any all claims, liabilities, costs and
expenses (including reasonable attorney’s fees) arising out of or relating to:

- any breach of this Term of Service by the User;
- any misuse of Reconzyle by the User;
- any violation of any law, regulation, or third party right by the User; or
- any claim that the User’s data or content infringes any patent, copyright, trademark,
trade secret, or other intellectual property right of any third party.
Termination and Retention of your data
Upon termination, access will end immediately, and you will have 30 days to export
your data before deletion. The data coming and created by you shall be archived and you can
no longer access it through our platform. The data shall be retained for a period of time in
accordance with our retention policy. Upon payment of your outstanding obligations and
subscription fee, your account shall be reactivated and access will be available to you. You
can also request for total removal of your data before thirty (30) days in our platform by sending
us a written notice.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, U.S.A., without regard
to conflict of law rules. Any disputes arising out of or related to these Terms will be resolved
through binding arbitration in Los Angeles County under the rules of the American Arbitration
Association (AAA). By agreeing to these Terms, you waive the right to participate in class
actions to the extent permitted by law, meaning that any disputes will be handled individually
through arbitration rather than through a group or class action lawsuit. The arbitration will be
conducted by a neutral arbitrator, and their decision will be final and binding.
Statute of Limitations
To the fullest extent permitted by law, any claim, dispute, or cause of action arising out
of or related to your use of Reconzyle must be initiated within one (1) year from the date the
issue giving rise to the claim occurred. If not filed within this period, the claim will be permanently barred, regardless of any contrary statute or law.
This limitation applies to all claims, whether based in contract, tort, statute, or any other
legal theory. It is intended to promote timely resolution of disputes and ensure that evidence
and records remain available and reliable.
Changes to Terms
Reconzyle reserves the right to revise these Terms from time to time, with changes
applying prospectively. You will be notified of any updates at least thirty (30) days before they
take effect, using the email address you provided. Updated Terms will also be published on
our platform and accompanied by visible notices.
If any provision of these Terms is found to be unenforceable by either party, that specific
clause will be disregarded, but all remaining provisions will continue to be valid and
enforceable.
Material changes will be announced at least 30 days in advance.
Continued use of Reconzyle after such notice constitutes acceptance of the new Terms.
